1. Acceptance of Terms
1.1 Agreement
These Terms of Use, together with our Privacy Policy, govern your use of the website and services operated by Semble House Pty Ltd (ACN: 691 297 266), trading as Semble House (referred to as "Semble House," "we," "us," or "our").
1.2 Acceptance
By accessing, browsing, or using the Semble House website (the "Site") and the services offered through it (the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or the Services.
1.3 Amendments
We may amend these Terms at any time. Your continued use of the Site and Services after any amendments constitutes your acceptance of the revised Terms.
2. The Semble House Services
2.1 Service Description
Semble House provides an online platform that facilitates the connection between property owners seeking to undertake residential renovations (each a "Homeowner") and builders who specialise in such projects (each a "Builder").
2.2 Core Service Process
The Services are generally provided through the following steps:
- Project Information Collection: Homeowners submit details and requirements for their renovation project via the Site.
- Tender Document Creation: Semble House reviews the information and generates a formal building tender document ("Tender Document"). The Homeowner then reviews and approves the Tender Document.
- Builder Invitation: Semble House presents the Tender Document to selected, pre-vetted Builders within our network.
- Quotation: Builders submit quotes ("Quotes") for the project based on the Tender Document.
- Referral and Recommendation: Semble House collates the Quotes and provides them to the Homeowner, along with a recommendation of a preferred Builder.
2.3 Limitation of Scope
You acknowledge and agree that:
- Semble House is a referral and connection service only. We do not act as an agent for either the Homeowner or the Builder.
- Semble House is not a party to any contract for building works entered into between a Homeowner and a Builder.
- Our recommendation is based on the information provided by the Builder and our internal assessment criteria; it is not a guarantee of the Builder's performance, solvency, or suitability for the project. Homeowners should undertake their own detailed due diligence before signing a contract with the Builder, including seeking any legal advice that may be needed.
3. Homeowner Obligations and Acknowledgements
3.1 Accuracy of Information
You warrant that all project information, details, and requirements you submit to Semble House are true, accurate, complete, and not misleading.
3.2 Engagement
If a Homeowner decides to engage a Builder following a referral from Semble House, the Homeowner is solely responsible for:
- Undertaking their own due diligence on the Builder.
- Negotiating and finalising the terms of the building contract.
- Managing the performance and quality of the building works.
3.3 Fees
The Homeowner agrees to pay Semble House a fee, currently $499 (including GST), for the Service.
4. Builder Obligations and Acknowledgements
4.1 Network Membership
Builders are accepted into the Semble House network based on our internal vetting criteria, which may change from time to time. Inclusion may be suspended or terminated at our sole discretion.
4.2 Quotations
Builders warrant that all Quotes submitted are honest, accurate, based on the Tender Document, and represent a genuine offer to undertake the work under standard industry terms.
4.3 Relationship
Builders operate as independent contractors. Nothing in these Terms creates a partnership, agency, employment, or joint venture relationship between Semble House and any Builder.
5. Intellectual Property
5.1 Site Content
All intellectual property rights in the Site, including its design, text, graphics, and all software relating to the Services, are owned by or licensed to Semble House. You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for their intended purpose.
5.2 User Content
You retain ownership of all intellectual property rights in the content and information you submit to the Site ("User Content"), including Homeowner project details and Builder Quotes. You grant Semble House a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, and disclose the User Content for the purpose of providing the Services (such as creating the Tender Document and sharing it with Builders).
6. Warranties and Disclaimer
6.1 Disclaimer
Semble House provides the Site and Services on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
6.2 No Guarantee
We do not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free.
- The Homeowner will select any Builder referred by us.
- Any Builder referred by us will meet the Homeowner's expectations or complete the project to a satisfactory standard.
7. Limitation of Liability
7.1 Exclusion
To the extent permitted by law, Semble House, its directors, officers, employees, and agents, will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if we have been advised of the possibility of such damages), resulting from:
- The use or the inability to use the Services.
- The conduct or statements of any Homeowner or Builder on the Site.
- Any contract or works undertaken between a Homeowner and a Builder.
- Unauthorised access to or alteration of your transmissions or data.
7.2 Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under Australian Consumer Law or any other applicable legislation that cannot be excluded, restricted, or modified by agreement.
8. Indemnity
You agree to indemnify and hold harmless Semble House, its directors, officers, employees, and agents from any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:
- Your access to or use of the Site or Services.
- Your breach of these Terms.
- Any dispute between you and another user (Homeowner or Builder).
9. Termination and Suspension
9.1 Termination by User
You may stop using the Services at any time by notifying us.
9.2 Termination by Semble House
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
9.3 Survival
All provisions of the Terms which, by their nature, should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. General Provisions
10.1 Governing Law
These Terms are governed by the laws of New South Wales, Australia, and the Commonwealth of Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales.
10.2 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Semble House concerning the use of the Services.
